VANTIQ RESELLER ORDER FORM TERMS AND CONDITIONS:
（Vantiq リセラーオーダーフォーム取引条件）

The following Terms and Conditions will be part of and will govern each Reseller Order Form signed by Vantiq and each authorized Vantiq Reseller pursuant to the written Reseller Agreement between them (the “Agreement”).
下記取引条件は、リセラー契約書に従い認定されたリセラーとVantiqの間で署名されるオーダーフォームの一部として管理される。

1. Public Cloud Subscription Terms. The terms of this Section apply only to Public Cloud subscriptions of the Vantiq Service (“Public Cloud Terms”).
パブリッククラウド·サブスクリプション：顧客のVantiqサービス·サブスクリプションが、Vantiqサービス（以下「パブリッククラウド」とする）で稼働する場合、以下の条件が適用される。

a. Virtual CPU Definition and Use Limitations. A “virtual CPU” or “vCPU” is equivalent to a single hyper-thread on an Intel architecture CPU. Each vCPU licensed by Customer above must be designated for use with Customer’s development environment, production environment, or edge systems. This designation cannot be changed during the subscription period.
仮想CPUの定義と仕様上の制限：「仮想CPU」または「vCPU」は、インテルアーキテクチャCPU上の単一ハイパースレッドに相当する。顧客が上記でライセンスを取得した各vCPUは、顧客の開発環境、本番環境、またはエッジシステムのいずれかの使用に指定する必要がある。サブスクリプション期間中にこの指定を変更することはできない。

b. Development Environment vCPUs. The development environment vCPU limitation indicates the maximum number of vCPUs that Customer may use concurrently at any time during the subscription period in Customer’s Vantiq Service development environment. Development environment vCPUs may be used by Customer only in Customer’s development environment and only for application development purposes. Customer shall not (i) deploy any application into production use in a development environment or (ii) use a development environment vCPU for production use of any application.
開発環境vCPU： 開発環境vCPUの制限は、顧客のVantiqサービス開発環境でのサブスクリプション期間中に、顧客が同時に使用できるvCPUの最大数を示す。開発環境vCPUは、顧客が顧客の開発環境でのみ、またアプリケーション開発目的でのみ使用することができる。顧客は(i)アプリケーションを開発環境で商用にデプロイしたり、(ii)アプリケーションの商用利用に開発環境vCPUを使用したりしてはならない。

c. Production Environment vCPUs. The production environment vCPU limitation indicates the maximum number of vCPUs that Customer may use concurrently at any time during the subscription period in Customer’s Vantiq Service production environment. Production environment vCPUs may be used by Customer only in Customer’s production environment and only to deploy applications into production use. Customer shall not (i) undertake application development in Customer’s production environment or (ii) use any production environment vCPU for application development purposes.
本番環境vCPU：本番環境vCPUの制限は、顧客のVantiqサービス本番環境でサブスクリプション期間中に顧客が同時に使用できるvCPUの最大数を示す。本番環境のvCPUは、顧客が顧客の本番環境でのみ、またアプリケーションを商用利用にデプロイする目的にのみ使用することができる。顧客は(i)顧客の本番環境でアプリケーションを開発したり、(ii)アプリケーション開発目的で本番環境vCPUを使用したりしてはならない。

d. Edge vCPUs. （エッジvCPU）

i. The Vantiq Service subscription permits Customer to host Vantiq applications on its own edge environments. The edge vCPU limitation indicates the maximum number of vCPUs that Customer may use concurrently at any time during the subscription period on edge systems. An “edge” environment is an instance of the Vantiq Service code running solely in a single node configuration (non-clustered). All servers, gateways, edge nodes, and any other cores running any Vantiq Service code will count against the Customer’s edge vCPU limitation.
Vantiqサービス·サブスクリプションにより、顧客は顧客のエッジシステム上でVantiqアプリケーションをホストすることができる。エッジvCPUの制限は、顧客がサブスクリプション期間中にエッジシステムを同時に使用できるvCPUの最大数を示す。「エッジ」システムとは、単一ノード構成（非クラスター化）でのみ実行されるVantiqサービスコードのインスタンスを指す。Vantiqサービスコードを実行しているすべてのサーバー、ゲートウェイ、エッジノード、およびその他のコアは、顧客のエッジvCPUの制限にカウントされる。

ii. Edge vCPUs may be used by Customer only to host one or more Vantiq applications on edge environments, in connection with Customer’s operation of such applications on production environment vCPUs. Customer shall not use edge vCPUs (A) in Customer’s development environment or elsewhere for application development purposes; (B) in Customer’s production environment other than on edge systems; (C) to operate an application as a “stand alone” system without simultaneous operation of such application on any production environment vCPUs; or (D) to operate an application in production use other than on edge environments.
顧客は、本番環境vCPU上での顧客の当該アプリケーション運用に関連した、エッジシステム上でVantiqの1つ以上のアプリケーションをホストするためにのみ、エッジvCPUを使用することができる。顧客は次の条件でエッジvCPUを使用しないものとする。（A）顧客の開発環境またはその他の環境でのアプリケーション開発を目的とする場合（B）エッジシステム以外での顧客の本番環境（C）本番環境vCPUでアプリケーションを同時に操作することなく、スタンドアロンシステムとしてアプリケーションを操作する場合（D）エッジシステム以外の本番環境アプリケーションを操作する場合。

e. Exceeding vCPU Limitation. If the Customer’s use of the Vantiq Service on a Public Cloud exceeds the development environment vCPU limitation, the production environment vCPU limitation, or the edge vCPU limitation indicated in this Order at any time during the subscription period, then Vantiq will invoice Reseller for an additional subscription fee. The additional fee will equal the incremental subscription fee for the excess vCPUs, per the then-current Vantiq price list, for the remaining subscription period, less Reseller’s discount.
サブスクリプション期間中に顧客のVantiqサービスの使用が本注文書の記載された開発環境vCPU制限、本番環境制限、またはエッジvCPU制限を超過した場合、Vantiqは追加のサブスクリプション料をリセラーに請求する。この追加料金は、残りのサブスクリプション期間について、その時点での最新のVantiq価格表に従って超過vCPUの増分サブスクリプション料金からリセラーの割引額を差し引いた金額に相当する。

f. Storage Limits. The Public Cloud storage limit stated above is the aggregate storage permitted for Customer on the Vantiq Public Cloud, regardless of the number of active Vantiq Service subscriptions or the number of vCPUs used by Customer. If Customer’s Vantiq Service subscription operates on the Vantiq Public Cloud and Customer exceeds the Cloud Storage limit stated above at any time during the subscription period, Vantiq will invoice Reseller for an additional subscription fee equal to 165,000 JPY per TB per twelve-month period or portion thereof remaining in the subscription period. “Cloud Storage “equals the amount of data stored in persistent data types spanning all Vantiq tenants and namespaces.
Vantiqクラウドストレージの上限：顧客のVantiqサービス·サブスクリプションがVantiqクラウド上で稼働していて、サブスクリプション期間中にクラウドストレージの上限を超過した場合、Vantiqはリセラーに12ヶ月あたり1TBにつき165,000円に相当する追加サブスクリプション料、またはサブスクリプション期間の残存期間分を請求する。「クラウドストレージ」とは、すべてのVantiqテナントおよびネームスペースにまたがる永続的なデータタイプとして保存されたデータの量を意味する。

2. Private Cloud Subscription Terms. If the Customer’s Vantiq Service subscription operates on third party or Customer-owned systems (a “Private Cloud”), the following terms of this Section will apply and the Public Cloud Terms will not apply.
プライベートクラウド·サブスクリプション：顧客のVantiqサービス·サブスクリプションが、サードパーティーまたは顧客が所有するシステム（以下「プライベートクラウド」とする）で稼働する場合、以下の条件が適用される。

a. Virtual CPU Definition and Use Limitations. A “virtual CPU” or “vCPU” is equivalent to a single hyper-thread on an Intel architecture CPU. An “Installation” is a collection of vCPUs configured as a cluster accessible at a single endpoint. The vCPU limitation on the Order Form indicates the maximum number of vCPUs that Customer may use concurrently in a single Installation at any time during the subscription period. The vCPUs included in this subscription cannot be (i) used in multiple Installations, or (ii) combined with vCPUs from different subscriptions in a single Installation.
仮想CPUの定義と仕様上の制限：「仮想CPU」または「vCPU」は、インテルアーキテクチャCPU上の単一ハイパースレッドに相当する。単一のインストレーションとは、複数のvCPUをクラスタとして構成した単一のエンドポイントを指す。オーダーフォームに記載されるvCPUの制限は、サブスクリプション有効期間において、顧客が単一インストレーションにおいて、同時に利用可能な最大vCPUである。サブスクリプションに含まれるvCPUは、(i)複数のインストレーションに分割すること、(ii)複数のサブスクリプションに含まれるvCPUを一つのインストレーションに結びつけること、を認めない。

b. Exceeding vCPU Limitation. If the Customer’s use of the Vantiq Service on a Private Cloud exceeds the vCPU limitation indicated in this Order at any time during the subscription period, then Vantiq will invoice Reseller for an additional subscription fee. The additional fee will equal the incremental subscription fee for the excess vCPUs, per the then-current Vantiq price list, for the remaining subscription period, less Reseller’s discount.
サブスクリプション期間中に顧客のVantiqサービスの使用が本注文書の記載された開発環境vCPU制限、本番環境制限、またはエッジvCPU制限を超過した場合、Vantiqは追加のサブスクリプション料をリセラーに請求する。この追加料金は、残りのサブスクリプション期間について、その時点での最新のVantiq価格表に従って超過vCPUの増分サブスクリプション料金からリセラーの割引額を差し引いた金額に相当する。

c. Conforming Private Cloud Requirements. The Customer’s Private Cloud must operate in compliance with Vantiq’s then-current requirements for a “Conforming Private Cloud” at all times during the subscription period. The current Conforming Private Cloud requirements are found at: https://community.vantiq.com/resourcefiles/vantiq-deployment-configurations/
顧客のプライベートクラウドは、サブスクリプション期間中、常に「コンフォーミング・プライベートクラウド」に関するその時点におけるVantiqの要件を遵守して運用しなければならない。最新のコンフォーミング・プライベートクラウドの要件は、上記のサイトに記載する。

d. Disclaimer. Vantiq disclaims any warranty of or responsibility for Vantiq Service operation or performance on any Private Cloud that does not meet Conforming Private Cloud requirements.
Vantiqは、コンフォーミング・プライベートクラウドの要件を満たさないプライベートクラウド上でのVantiqサービスの運用又はパフォーマンスについていかなる保証または責任を負わないものとする。

e. Private Cloud Professional Services. This Order Form does not include any Vantiq assistance, support or training in connection with Customer’s implementation or operation of a Private Cloud, unless such assistance is included in Services ordered by Reseller above.
上記リセラーが注文したサービスに含まれていない限り、本注文書には顧客のプライベートクラウドの実装または運用に関連するVantiqの支援、サポートまたはトレーニングは含まれないものとする。

f. External Service Option. If Customer purchases the External Service Option for its Private Cloud subscription, the following terms will apply.
顧客がPrivate Cloud Subscriptionに対し、External Service Optionを購入した場合、下記項目が追加で適用される。

i. Customer’s external customers (“External Customers”) are permitted to use or benefit from Vantiq Service applications developed and operated by or for Customer, subject to the terms and conditions of the Agreement and the Order Form governing Customer’s subscription.
顧客の外部顧客(以降、外部顧客と記す)は、顧客が顧客のために開発および管理するVantiq Serviceアプリケーションを利用する、もしくは便益を享受することを許容する。

ii. External Customers are not permitted to access Customer’s Vantiq Service user interface or use Customer’s Vantiq Service subscription to develop or use any other applications.
外部顧客は、Vantiq Serviceユーザーインターフェイスにアクセスしたり、顧客のVantiq Service Subscriptionを使ってアプリケーションを開発することはできない。

iii. External Customers are permitted to use Customer’s Vantiq Service applications solely for their internal business purposes.
外部顧客は、顧客のVantiq Service アプリケーションを社内目的でのみ利用することができる。

iv. Customer will be solely responsible for supporting External Customer use of the Vantiq Service. Vantiq will not be obligated to provide any support services directly to any External Customers
顧客は、外部顧客のVantiq Serviceのサポートついて、全責任を負うものとする。Vantiqは、外部顧客に対し、直接のサポートサービスを提供する義務は負わない。

v. Customer will be solely responsible for all use of the Vantiq Service by its External Customers. Vantiq disclaims any liability or responsibility to Customer or to Reseller for any damages or other consequences of such use.
顧客は、外部顧客のVantiq Service利用について、全責任を負うものとする。Vantiqは、顧客及びリセラーに対し、利用による損害並びにその他の結果に対する責任と義務から免責される。

3. Organization Limit.　(組織の上限)

a. Only one (1) Organization of Customer is licensed to use the Vantiq Service to develop and operate applications pursuant to the terms of this Order Form.
顧客の1組織のみが、本注文書の条件に従ってアプリケーションを開発および運用するためにVantiqサービスを使用することができる。

b. An “Organization” is defined as a division of Customer that serves a single business purpose and operates under a budget dedicated to that business purpose. An Organization may include different departments, teams and other groupings that serve the same business purpose, operate under the same budget for that business purpose, and are under common management.
「組織」とは、単一の事業目的を果たし、その事業目的の特価した予算の中で運営される顧客の一部門と定義される。組織には、同じ事業目的を果たし、その事業目的のための同じ予算の中で運営され、共通の管理下にある異なる部門、チーム、その他のグループが含まれる場合がある。

i. In order for Customer to use its Vantiq Service subscription outside of the subscribing Organization indicated above, Reseller must place an additional subscription order. Reseller and Customer will not permit use of the Vantiq Service subscription in this Order Form by or for the benefit of any part of Customer other than the subscribing Organization, or by or for the benefit of any other entity (including Customer affiliated companies), except as permitted under such additional subscription order(s).
顧客がこのVantiqサービス·サブスクリプションを組織外で使用するためには、リセラーはVantiqに連絡をして追加のサブスクリプションを発注しなければならない。追加のサブスクリプションの注文で許可されていない限り、リセラーまたは顧客は本注文書に記載されたVantiqサービス·サブスクリプションを、顧客の組織外のいかなる部門や法人（顧客の関連会社を含む）の利益のために使用することを許可しないものとする。

4. Export Import Matters.

Customer will comply with all export laws and restrictions and regulations of the United States Department of Commerce or other United States or foreign agency or authority, and not to export, or allow the export or re-export of any confidential or proprietary information or technology or rules and rulings by the US Bureau of Industry and Security’s Entity List and the Vantiq Service or any direct product thereof in violation of any such restrictions, laws or regulations.
顧客は、米国商務省またはその他の米国もしくは外国の機関や官庁のすべての輸出法および制限ならびに規制を遵守し、かかる制限や法律または規制に違反して、いかなる機密情報や専有情報または専有技術、米国産業安全保障局のエンティティリストによる規則および裁定、Vantiqサービスまたはその直接製品を、輸出または再輸出することはせず、輸出もしくは再輸出も許可しないものとする。

5. Evaluation Subscriptions.

Evaluation subscriptions of the Vantiq Service are limited to application development, testing, and evaluation. Production deployment of Vantiq Service applications is not permitted under an evaluation subscription. Any Professional Services provided by Vantiq with an evaluation subscription are subject to the section below entitled “Professional Services” and will be subject to completion of a written scope or description of the work in Section B above or in a separate document signed by authorized representatives of Reseller and Vantiq (“Scope Document”). Evaluation subscription fees will not be applied toward payment for any full-year subscription later purchased for Customer.
評価用サブスクリプション： Vantiqサービスの評価用サブスクリプションは、アプリケーションの開発、テスト、および評価利用に限定される。本番環境vCPUは、評価用サブスクリプションに含まれておらず、アプリケーションの商用展開は許可されていない。評価用サブスクリプションでVantiqが提供するプロフェッショナルサービスは、後述の「プロフェッショナルサービス」と題する項に従うものとし、上記セクションB、もしくはリセラーとVantiqの権限を与えられた代表者が署名をした別の文書（以下「スコープ文書」とする）に作業の範囲または説明を記載し書面を完成させるものとする。評価用サブスクリプション料は、後に顧客が購入する年間サブスクリプションの支払いには適用されない。

6. Advanced Provisioning of Customer’s Account.

Vantiq may provision the Customer’s Vantiq account before the “Subscription Start Date” in the Order Form. Reseller and Customer are not responsible for any additional charge as a result of early access to Vantiq Service. The Subscription Start Date will not be modified as a result of early access.
顧客アカウントの先行プロビジョニング：Vantiqは注文書の「サブスクリプション開始日」よりも前に顧客のVantiqアカウントをプロビジョニングする場合がある。リセラーおよび顧客は、Vantiqサービスへ早期アクセスした結果として発生した追加料金については一切の責任を負わない。早期アクセスによってサブスクリプション開始日が変更されることはない。

7. Professional Services. (プロフェッショナルサービス)

a. Vantiq consulting, training, project launch assistance, application development, and other professional services (“Professional Services”) are charged on a time and materials basis at the List Price per day for the Territory set forth in the Vantiq Community Portal.
Vantiqコンサルティング、トレーニング、プロジェクト立ち上げ支援、およびその他のプロフェッショナルサービス（以下「プロフェッショナルサービス」とする）は、Vantiq Community Portalに記載されている該当地域の1日当たりの価格で、実費に基づいて請求される。

b. Vantiq’s daily rates are based on an eight-hour workday. Scheduled service dates will be agreed upon mutually, subject to availability of Vantiq personnel. All Professional Services will be provided remotely and/or at the Reseller or Customer site, as mutually agreed, in minimum increments of one (1) full day. Reseller will utilize all Professional Services within twelve (12) months following the Order date.
Vantiqの1日あたりの料金は、1日８時間労働に基づいている。サービス提供日については、Vantiq担当者の空き状況をもとに、相互の合意によって決められる。すべてのプロフェッショナルサービスは、全1日を最小単位として、相互に合意された通りに、リモートおよび/もしくはリセラーまたは顧客の拠点で提供されるものとする。リセラーは注文日から12ヶ月以内にすべてのプロフェッショナルサービスを利用するものとする。

c. The above person-day and fee estimates are based on the existing requirements communicated by Reseller for the project described in this Order (the “Project”). More work may be required to meet the scope. Vantiq will notify Reseller via email of any expected changes to the estimate as they become known. The final invoice will reflect actual time spent by Vantiq on the Project.
上記の人日および料金の見積りは、本注文書に記載されているプロジェクト（以下「プロジェクト」と言う）のためにリセラーから伝わった既存の要件に基づいている。範囲を満たすために、より多くの作業が必要になる場合もある。Vantiqは見積りから変更が予測されることが判明次第、電子メールでリセラーに通知する。最終的な請求書は、Vantiqがプロジェクトに費やした実際の時間が反映される。

d. This Order is limited to the Project scope of work set forth in this Order or accompanying Scope Document. If Reseller desires to change the scope, character, or complexity of the Project or engage Vantiq for an additional project, Vantiq is not obligated to implement the desired change or additional work unless and until Reseller and Vantiq execute a supplemental Professional Services Order covering the additional effort required.
この注文は、本注文書または付属のスコープ文書に記載されているプロジェクトの作業範囲に限定される。リセラーがプロジェクトの範囲・性質・複雑さを変更したい場合、または追加プロジェクトのためにVantiqを利用することを希望する場合、必要とされる追加作業をカバーする追加のプロフェッショナルサービス·オーダーをリセラーとVantiqで締結しない限り、Vantiqは変更や追加作業を実施する義務を負わない。

e. Reseller agrees to (and if applicable will require the Customer to) (1) work with Vantiq in a reasonable manner and (2) provide all Reseller-owned or Customer-owned materials and/or information (if any) necessary for Vantiq to perform and deliver the Project.
リセラーは(1)合理的な方法でVantiqと協力し、(2)Vantiqがプロジェクトを実施し引き渡すために必要なすべてのリセラー所有または顧客所有の資料や情報を提供することに同意し、提供しなければならない。

f. Development and deployment of Reseller’s or the Customer’s Vantiq application(s) will remain at all times under Reseller’s or the Customer’s control and direction. Ultimate responsibility for development and deployment of Reseller’s or the Customer’s Vantiq application(s) remains with Reseller or the Customer, and Vantiq will not be liable to Reseller, the Customer, or any third party for any damages relating to any delay, noncompletion, failure to deploy, or performance of any Vantiq application.
リセラーまたは顧客のVantiqアプリケーション開発およびデプロイメントは、常にリセラーまたは顧客の管理および指示の下に置かれるものとする。リセラーまたは顧客のVantiqアプリケーションの開発およびデプロイメントに関する最終的な責任はリセラーまたは顧客にあり、VantiqはVantiqアプリケーションの遅延・不完成・デプロイの失敗・またはパフォーマンスに関連するいかなる損害についても、リセラー、顧客、または第三者に対して責任を負わないものとする。

g. Vantiq’s Professional Services will materially conform to the Project specifications set forth in this Order or accompanying Scope Document and be of a professional quality conforming to generally accepted industry standards and practices. If any Vantiq Professional Services do not meet the foregoing requirements, Reseller will notify Vantiq in writing of the details of such non-complying Professional Services within thirty (30) days following completion of the Professional Services described in this Order. Reseller’s exclusive remedy and Vantiq’s entire liability for such non-complying Professional Services will be (i) the reperformance of the non-complying Professional Services, or (ii) if Vantiq cannot reperform the Professional Services, recovery of the fees paid Vantiq for such non-complying Professional Services.
Vantiqのプロフェッショナルサービスは、本注文または付属のスコープ文書に記載された本件プロジェクト仕様に実質的に準拠しており、一般に認められた業界標準および慣行に準拠する専門的品質を持つものとする。Vantiqプロフェッショナルサービスが前記要件を満たしていない場合、リセラーは本注文書に記載されたプロフェッショナルサービスの完了後30日以内に、当該不適合プロフェッショナルサービスの詳細を書面にてVantiqに通知するものとする。かかる不適合プロフェッショナルサービスに対するリセラーの唯一の救済およびVantiqの全責任は、(if)不適合プロフェッショナルサービスの再実施、または(ii)Vantiqがプロフェッショナルサービスを再実施できない場合にはかかる不適合プロフェッショナルサービスに関してVantiqに支払われた費用の返金とする。

h. Vantiq will own all right, title and interest, including all intellectual property rights, in all software, documentation, deployment guides, training materials, and other deliverables or information provided or developed by Vantiq in the course of delivering the Professional Services; provided that Reseller shall retain ownership of its pre-existing materials disclosed to Vantiq in connection with the Professional Services, whether or not any such materials are included in a deliverable. Reseller and its Customer shall have a nonexclusive, non-transferable, fully-paid up right and license to use the Project deliverables and information provided by Vantiq solely in connection with such Customer’s use of its subscription to the Vantiq Service.
Vantiqは、プロフェッショナルサービスの提供の過程においてVantiqが提供または開発したすべてのソフトウェア、書類、展開ガイド、トレーニング素材およびその他の配布物または情報におけるすべての知的財産権を含むすべての権利、権限および利益を保有するものとする。但し、プロフェッショナルサービスに関連してVantiqに開示された既存の素材については、配布物に含まれているか否かに関わらず、それらの素材の所有権はリセラーが保持するものとする。リセラーおよびその顧客は、Vantiqサービスに対する顧客のサブスクリプションの使用に関してのみ、Vantiqにより提供された本件プロジェクトの配布物および情報を使用するための非独占的、譲渡不可、全額支払い済みの権利およびライセンスを有するものとする。

i. Reseller will pay (or reimburse Vantiq for) all reasonable Vantiq travel-related costs in accordance with Reseller’s current T&E policy.
リセラーは、リセラーの現行のT&E（交通費・接待費）ポリシーに従って、すべての合理的なVantiqの交通費慣例費用を支払う（またはVantiqに返金する）ものとする。

j. Vantiq may use subcontractors to perform work under this Agreement provided that Vantiq takes full responsibility for such subcontractor’s performance.
Vantiqは本契約に基づく作業の実施に下請業者を使用することができる。但し、Vantiqは下請業者の実施において全責任を負うものとする。

8. Language Precedence.

Portions of this Order Form are stated in both the English and Japanese languages. The English version of this Order Form will be the governing version and will prevail over the Japanese version in case of any conflicting or different terms or conditions.
本注文書は英語および日本語の対訳により構成される。英語版の注文書を法律上正式に利用されるものとみなし、契約条項に齟齬が合った場合には、英語版の注文書に則るものとする。
